Authorized share capital is the amount mentioned in the Capital Clause of the Memorandum of Association of the company. It is the maximum amount of capital which a Company can raise through the issue of shares to its shareholders. Whenever the company requires funds in business, the company can increase it’s Authorized Capital according to its requirements by passing Ordinary or Special Resolution in General Meeting and by following the procedures as mentioned in the Companies Act, 2013 and subject to confirmation by ROC.
